Terms of Service

1. The Service

Borrow Tokens ("we", "us") operates a marketplace for on-demand GPU compute. Customers submit compute jobs or create dedicated LLM serving sessions ("Agent Workspaces") that run on hardware supplied by independent contributors ("Hosts") or by third-party cloud providers.

Despite the name, there are no tokens. Borrow Tokens does not issue, sell, or accept any cryptocurrency, digital token, staking product, yield product, or transferable credit of any kind. All billing is in United States dollars, cash-settled.

2. Beta Status — No SLA

The Service is in private, invite-only beta:

Provided as-is, with no service-level agreement, no uptime guarantee, and no warranty of any kind, express or implied.
Features, pricing, and availability may change or be withdrawn at any time.
We may suspend or terminate any account or workload at our discretion, including to protect the platform, Hosts, or other customers.

3. Billing

Usage is billed in cash (USD) per active GPU-second, at the rates shown at the time of job or workspace creation. Internally, amounts are computed in integer microdollars.
Paused workspaces do not accrue GPU charges while paused.
Beta invoicing is manual: we issue invoices periodically and you agree to pay within [NET-15] days.
Spend caps and concurrent-job limits apply to all beta accounts. Exceeding a cap results in job rejection (HTTP 402) or cancellation of in-flight work.
Optional promotional usage credits, if granted, are non-transferable, non-refundable, and redeemable only for compute on this platform. They are not money, deposits, or investments and carry no interest or yield.

4. Acceptable Use

You must not use the Service to:

run illegal workloads, or workloads that infringe third-party rights;
mine cryptocurrency or run proof-of-work/proof-of-space workloads;
attack, probe, or overload the platform, Hosts, or third parties;
attempt to identify, contact, or extract data from Hosts, or to break out of the workload sandbox;
process data you lack the legal right to process, or personal data requiring regulated safeguards (e.g., HIPAA, PCI-DSS) — the Service is not certified for such data.

5. Important Trust Disclosure

Your workload runs on a contributor's machine. Unless your workspace is placed on our cloud fallback, the GPU executing your job or serving session belongs to an independent Host. Sessions are single-tenant (your workspace is never shared with another customer), and Hosts agree in writing not to inspect customer traffic — but consumer hardware provides no confidential-computing guarantees. A malicious Host could technically observe prompts, code, model inputs/outputs, or data on their GPU.

Do not send secrets (API keys, credentials, proprietary source you cannot accept a third party seeing) through the Service. If your threat model requires hardware-attested confidentiality, this Service is not for you.

6. Your Content

You retain all rights to the code, prompts, models, and data you submit. You grant us the limited right to transmit, cache, execute, and log it as needed to operate the Service. We claim no ownership of your outputs.

7. Liability

To the maximum extent permitted by law:

The Service is provided "as is" and "as available".
Our total aggregate liability for any claim is limited to the amounts you paid us in the three (3) months preceding the claim.
We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, or business, even if advised of the possibility.
We are not liable for the acts or omissions of Hosts, including data exposure on Host hardware, subject to the disclosure in Section 5.

8. Termination

Either party may terminate at any time. On termination we will stop billing, tear down your running workloads, and delete session tokens. Billing records are retained as required for accounting (see the Privacy Policy).

9. Changes

We may update these terms during the beta with notice via email or the dashboard. Continued use after notice is acceptance.
